Deal summary
San Francisco-based Valeas Capital Partners has agreed to acquire a 75% stake in My Pension Expert, as Palatine Private Equity prepares to exit following a four-year investment partnership. Palatine's 42% stake forms part of the interest being transferred to Valeas.
The transaction is understood to value My Pension Expert at approximately £500 million, with Valeas acquiring around 75% of the business. Founder and CEO Andrew Megson and his wife Jane are expected to retain approximately 20%.
My Pension Expert currently advises around 20,000 clients and has approximately £2 billion of assets under administration. The investment will support further expansion, technology development and the firm’s aim of increasing access to regulated retirement advice among mass-market consumers.
About Valeas Capital Partners
Valeas Capital Partners is a San Francisco-based mid-market private equity firm founded in 2021, focused on growth-buyout partnerships in three primary sectors: healthcare, financial services and data and technology.
The firm was founded by Rob Little and Ed Woiteshek, both previously of Hellman & Friedman, and closed its inaugural fund at over $600 million in December 2024. As of March 2026, Valeas had approximately $2.8 billion in regulatory assets under management.
About My Pension Expert
Founded in 2010, My Pension Expert provides regulated financial advice to people approaching or already in retirement. Its services include pension consolidation, income drawdown, annuities and longer-term retirement planning, delivered to clients across the UK from its Doncaster headquarters.
The business employs around 130 people and is a certified B Corporation. It has expanded both organically and through acquisitions, including its purchase of Tenet&You in May 2024.
The firm focuses on the UK’s retirement advice gap, providing individualised regulated advice to consumers who have historically struggled to access traditional financial advice.
Why is Valeas Capital Partners investing in My Pension Expert?
The investment aligns with Valeas’s focus on scaled, technology-enabled financial services businesses with clearly defined client segments and established growth records. During Palatine’s four-year investment period, My Pension Expert delivered more than 40% organic revenue growth from 2023, completed two strategic acquisitions and six client-book acquisitions, and doubled its headcount to around 130. Palatine said the exit generated a circa 5x return for investors.
The structural backdrop is also supportive. As growing numbers of consumers with defined contribution pensions reach retirement, demand for regulated at-retirement advice is likely to remain strong. Rob Little, co-founder and managing partner of Valeas Capital Partners, described founder Andrew Megson's vision and approach to closing the pensions advice gap as something that "resonates deeply" with the firm.
What happens next?
The transaction is expected to complete later in 2026, subject to FCA approval. Andrew Megson is expected to continue leading the business as CEO as it pursues its next phase of expansion.
My Pension Expert plans to pursue further acquisitions and increase its workforce from around 132 to approximately 230 people over the next three to four years.
