Just Group to Join Brookfield in £2.4bn Strategic Acquisition

Brookfield Wealth Solutions (BWS) has agreed to acquire Just Group in a landmark £2.4bn deal, highlighting the global firm’s growing commitment to the UK retirement and insurance market. The offer of 220 pence per share represents a 75% premium over Just’s closing price on July 30 and is expected to be finalised in the first half of 2026, pending regulatory approval.
This acquisition marks a significant expansion of BWS’s presence in the UK following the March 2025 launch of Blumont Annuity Company UK. Once the acquisition is complete, Blumont and Just will merge to operate under the Just brand, forming a consolidated insurance group that aims to lead the market in individual annuities and retirement solutions.
BWS CEO Sachin Shah stated, “The acquisition of Just will accelerate our growth ambitions for the UK, a core region for us given its status as one of the world's leading pension markets. We look forward to supporting Just’s growth and building on its commitment to retirement security.”
Brookfield will provide scale and capital, while Just offers specialised insight into the UK market along with a well-established platform. Together, the businesses will leverage Brookfield Asset Management’s global AUM of $1trn, with £63bn already invested in UK-based assets.
